Meetings

Board of Director Meetings are held the fourth Tuesday of every month.  The meetings are at Folks in Buford.
Meetings begin at 7pm.  These meetings are open to the general membership.  You are required to contact the President if you wish to be put on the agenda.

General Membership meeting dates will be announced in upcoming newsletters.

Newsletter rates are $5.00 for a text ad, $15 if you provide a flyer or $20 if we make copies of the flyer for you.  The deadline for the newsletter is the Friday after the Board Meeting.  Contact Shanon Anderson for the newsletter.

Reminders

Membership fees have changed to $25, this gives every household 2 votes. Please remember if you haven't aid your membership for the year to send those in to Sue Cox.  Also, remember that any points that you earn at a GPHC show won't count toward year end awards unless you have paid up your membership dues. If you wish to keep receiving the newsletter please go ahead and renew before the grace period expires.

RULES & BY-LAWS

2007

ARTICLE 1 – Name and Object

The name of this organization shall be the Georgia Paint Horse Club. It’s object shall be to promote in all ways the interest of Georgia Paint Horse owners, to increase the number of Georgia breeders and owners of Paint Horses registered by the APHA and to advance Georgia’s horse industry. All the proceedings of this Club shall be in harmony with the policies and activities of the American Paint Horse Association.

ARTICLE II – Membership

Section 1. Membership shall be for individual members and family members.

Section 2. Membership shall be open to any reliable person, firm or corporation, resident of any state; interested in promoting Paint Horses registered by the APHA. Any person, firm or corporation having joined this club shall thereby become subject to the expulsion from the club as provided in these by-laws.

Section 3. Annual membership is open to any individual meeting requirements of Section 2 in return for the annual payment of membership. All memberships will be entitled to two votes, regardless of type (individual, family, or firm or corporation).

Mandatory voting age shall be 19 years and over as of January 1.

Section 4. Family membership includes all immediate members (husband, wife and children 18 years and under who still reside at home) for points, in return for the annual payment of membership.

Section 5. Application for membership must have fee attached to it and be submitted to the GPHC Membership Chairperson or Treasurer.

Section 6. Membership will start January 1 and be effective through December 31. After January 1, membership will start the day the application and fee is received by the GPHC Membership Chairman or Treasurer. Membership dues must be paid 30 days before exercising any voting privileges.

Section 7. In cases of error in fees or application, the above membership starting dates will remain effective provided the error is corrected within 30 days.

Section 8.Youth must have parent or guardian join to be a member. Membership applications will require a full list of names and addresses.

 

Article III. Discipline

Section I. When any person, members or non-members of the club, shall be accused of any acts or practices occurring at a function sponsored, sanctioned or approved by the Georgia Paint Horse Club, which acts or practices may be deemed just cause for suspension, expulsion, or other disciplinary action from the club, said person, firm or corporation shall be entitled to a full, fair and impartial public hearing before the Board of Directors of the club where he shall be faced by his accuser or be permitted to examine all evidence offered in support of the charge against him, and where he shall be given full opportunity to refute such evidence.

When such accusation or complaint is made to a member of the Board of Directors, said accusation or complaint shall be heard at the next regularly scheduled Board of Directors meeting, or at such other time as designated by the President of the Club.

Notices of the hearing shall be given to the accuser and the accused as follows:

Notice shall be sent by regular or certified mail, to the last known address containing a notification of the accusation, charge or complaint made, and notifying the accused of his rights as specified in Paragraph one of this section. (For the purposes of this section, if the accused is a member of the club, the address on his membership shall constitute the last known address.)

The meeting shall be scheduled at least ten (10) days from the date of the notice.

No continuances of said hearing will be granted unless, in the sole discretion of the Executive Committee of said Club, the reason for same is compelling and warranted.

If, after hearing, the accused is found guilty of the accused conduct by affirmative vote of a majority of the directors present, the Directors shall decide the appropriate action to take against the offender. Potential punitive measures may include, but are not limited to:

a) Suspension from the Club;

b) Expulsion from the Club;

c) A determination of ineligibility to participate in Club sponsored or sanctioned awards, prize monies, points, or other privileges of the Club; and

d)Any other such action as the Board may deem just and proper under the circumstances

Section II. Any member may be suspended and denied privileges of the GPHC and any non-member may be denied privileges of the GPHC by the Board of Directors for the failure to pay when due any obligation owing to the Club. Person owing GPHC and hearing, the accused is found guilty of the accused conduct by affirmative vote of a majority of the directors present, the Directors shall decide the appropriate action to take against the offender. Potential punitive measures may include, but are not limited to:

Suspension from the Club;

Expulsion from the Club;

A determination of ineligibility to participate in Club sponsored or sanctioned awards, prize monies, points, or other privileges of the Club; and

Any other such action as the Board may deem just and proper under the circumstances having received written notice of intention to suspend may make restitution within 10 days of receipt of such notice with not further penalty. Persons receiving such notice and failing to pay within 10 days of receipt of such notice of intention shall be suspended for a period of time beginning on the tenth day following notice and continuing for not less than 30 days, nor more than the period of time (over 30 days) taken to make restitution following the payment of indebtedness. Any check paid to GPHC which is returned for insufficient funds by a farm, corporation, family or individual will receive a penalty to $25.00 service charge. If this policy is repeated, these people may be asked to prepay all other services on a cash basis. Any person who leaves the show grounds without paying for stalls used and/or entry fees will be penalized $25.00. If this policy of leaving without paying is repeated, this person shall be asked to prepay all other entries and stall fees upon arrival at the show.

Section III. Any member or person included in a membership who is suspended by the American Paint Horse Association shall be automatically suspended by the Georgia Paint Horse Club, Inc. without the right to a hearing as outlined.

ARTICLE IV – Members

Section 1. Members of the Club shall be admitted, retained and expelled in accordance with such rules and regulations as the Board of Directors may, from time to time, adopt. In all matters governed by the vote of the members, each membership in good standing, shall be entitled to vote, as outlined in Article II, Section 3 through 9. For voting privileges, members in good standing is defined as one having paid dues for the current membership year, and having not been expelled or under suspension. Suspension of one member of a family membership causes all members belonging under that membership to be denied privileges.

Section 2. The regular annual meeting of the membership shall be held each year on the first Tuesday of October at a time and place as may be fixed by resolution of the Board of Directors, but in any event it shall be held for the purpose of election officers and directors and for the transaction of such other business as may be brought before the meeting. Notice of the annual meeting shall be given by mailing a notice to each member entitled to vote thereat, by the Secretary or other persons entitled to call such meeting, or by placing an article in the GPHC newsletter stating the time and place of such meeting. Notice or newsletter is to be mailed to the last known address of each member in good standing not less than 15 days nor more than 60 days prior to the date of such meeting.

Section 3. Special meetings of the members may be held at any time and place as may be designated in written notice by the direction of the President, or in his absence, by the Vice President, or by a majority of the Board of Directors.

Section 4. Any officer of the Club may call the meeting of the members to order and may act as chairman of such meeting, precedence being given as follows: President, Vice President and Treasurer. In the absence of all such officers, members present may elect a chairman. The Chairman may appoint any member to act as Secretary at the meeting.

Section 5. At the regular annual meeting the qualified members of the Club shall nominate the President, Vice President, Treasurer and Board of Directors.

Article V- Elections

Section I. The President or other presiding officer shall appoint three members as a nomination committee. If any right of any member to vote shall be challenged, the Nominating Committee shall determine such right. Ballots containing the names of nominees will then be mailed to the entire general membership for election of officers. Ballots for election of Board of Directors will be mailed at this time. Members will have no less than 15 days to return post-marked ballot to specified address. The Board of Directors will then call a meeting with the Nominations Committee who will oversee the counting and verification of all such ballots. All qualified ballots will be numbered originals; no copies or facsimiles will be accepted. The Nominating Committee shall receive and count all ballots and announce the results of all votes. Their certificate of such results shall be prima facie evidence thereof.

ARTICLE VI – Board of Directors

Section 1. The business and property of the Club shall be managed and controlled by the Board of Directors, President and Vice President. The Board of Directors shall consist of 7 or more directors. Board members and Officers must be a member of GPHC for the six months prior to the election. To be eligible for nomination to Presidency or Vice Presidency, they must have previous year’s active service on the board. Vacancies during the year will be filled by the Board and the procedure outlined in Section 6 of this article. Selection of the Board members should be based on improvement of the Paint Horse Industry in Georgia and/of interest in promotion of Youth Activities or future industry leaders. The number of membership of the Board of Directors may be altered from time to time by amendment of these laws, but shall not be less than 7.

Section 2. The nominations of Directors shall take place at the annual meeting of members or, if not elected thereat, at a special meeting called for said purpose. Election shall be by written ballot which will be mailed to each member and those candidates receiving the largest number of votes shall be elected.

Section 3. Preference shall be given to those persons who have served on a standing committee or otherwise proven their interest and availability to assume this position of leadership.

Section 4. In addition to the Directors elected as above provided, the retiring President of the Club shall automatically become an additional member of the Board with the power to vote for a term of as many years as his successor serves as President, the President of the GPHC shall automatically be a voting member of the Board of Directors for a term of as many years as he serves as President, and shall appoint an alternate to attend in his absence; and the GPHC Youth will place a representative (adult) on the GPHC Board of Directors with full voting privileges.

Section 5. In the event a Director, during his or her term is elected to the office of President or Vice President, he or she, upon taking office shall vacate his or her position as Director and a vacancy shall occur and such vacancy shall be filled pursuant to Section 6 of this article.

Section 6. In case of any vacancy on the Board by death, resignation, disqualification, or other cause, the President will be required to offer the position to one of the three persons who were next in line by majority vote of the membership at the prior general election in successive order of votes.

Section 7. Notification of the time an place of the regular meeting of the officers and Directors shall be given at least ten days preceding the meeting date, provided, however an emergency meeting may be called if one-half of the officers and Directors are present and unanimously decided that the meeting be necessary.

Section 8. A majority of the number of membership-elected directors shall constitute a quorum for the transaction of business, but if at any meeting of the Board there may be less than a quorum present, a majority of those present may adjourn the meeting from time to time until a quorum shall be present. The act of a majority of the directors present at a meeting at which a quorum is present is the act of the Board.

Section 9. At meetings of the Board of Directors business shall be transacted in such order as the Board may determine. Board meetings are open to members and visitors; however, they may not speak unless recognized by the presiding officer.

Section 10. The written contracts of the Club shall be executed in behalf of the Club by the President or Vice President and attested to by the Treasurer.

Section 11. Each member of the board of directors will be allowed 2 unexcused absences from scheduled meetings. More than 2 unexcused absences will be interpreted as a resignation. This will allow the Board to fill the vacancy with someone else, and enable them to run the Club effectively. An excused absence can either be called in prior to the meeting or reported in by someone present.

Section 12. The Board of Directors shall have the power and the authority to make, amend, repeal and enforce such rules and regulations, not contrary to the law or these by-laws, as they may deem expedient concerning the conduct, management and activities of the Club, the admission, classification, suspension and expulsion of members, removal of officers, the rules and regulation governing the procedure of such suspension and expulsion and removal, the fixing and collection of dues and fees, the conduction of shows, contests, sales and social functions and other details relating to the general purposes of the Club, all, however, subject to the revisions or amendment by the members at any membership meeting provided the revision or amendment shall have been mailed to all members at least ten days in advance of meeting.

Section 13. All members of the Board of Directors shall pay membership dues for current year by January 15 of said year and in the event of the failure to do so, upon notification, shall be expelled from the Board and the vacancy created will be filled pursuant to Section 6 of this article.

Section 14. A Director that is removed can be re-elected in a subsequent year.

ARTICLE VII – Officers and Duties

Section 1. The Officers of the Club shall consist of a President, Vice President, and Treasurer. The procedure for the election of officers shall be as follows: Nominations or President, the Vice President will automatically be nominated for President, and the incumbent President must declare by July 1, his or her intention to re-run and then be placed on the ballot. Vice Presidents and Treasurer shall be made annually by the current Board of Directors after hearing a report from the Nominating Committee. A copy of these nominations shall be mailed to all members of the Club entitled to vote. This mailing should be at least six weeks prior to the annual meeting. All Officers shall be elected by a majority of the members casting votes by mailed ballots. A write-in section will be provided to accept any or all nominations which the membership may wish to make. The President and Vice President shall hold office for one year or until their successors are elected and qualified. The President, Vice President and Treasurer may succeed themselves in office. The President shall appoint such chairman as he deems advisable. They shall hold office for one year and /or until their successors are appointed or approved. Only Directors, elected Officers and Representatives of Georgia shall have the right to vote at meetings of the Board of Directors.

Section 2. The President shall be the chief executive officer of the Club and shall presided at all meetings of the Board of Directors. He/She shall see that the By-laws, rules and regulations of the Club are enforced and shall perform all other duties that may be prescribed from time to time by the Board of Directors. He/She shall be an ex-officio member of all committees. The President, from time to time, may create and empower other committees, general or special.

Section 3. In the absence of the President, the Vice President shall have the power and shall perform the duties of the President and such other duties as may be prescribed by the Board of Directors. In the absence of the Vice President, the Treasurer will be acting President.

Section 4. The Treasurer shall exercise the normal duties of Treasurer, including the duties to receive and disburse funds of the Club, to collect dues and handle all matters pertaining to membership, to maintain adequate records thereof and to prepare appropriate reports monthly and annually of such funds and disbursements for presentation to the Board of Directors and the membership. The annual financial report is to be distributed to all cub members. He/She shall hold office for one year and or until his successor in elected.

Section 5. The Secretary shall keep the minutes of all membership and directors meetings and shall provide same for inclusion in the newsletters. He/She shall handle all correspondence and communication for the GPHC, and it’s Board of Directors. He/She shall make a report of membership and directors meetings and shall perform such other duties as may be prescribed by the Board of Directors from time to time.

Section 6. The Club shall conduct its affairs on the fiscal year basis, to begin January 1 and end December 31 of the same year. An annual review of the accounts of the Club shall be made by a Certified Public Accountant at the close of each fiscal year and/or such times as the Board of Directors shall direct, but such review shall take place once annually. The results of said review shall be reported at the next annual meeting of the members. Such accountant shall be a disinterested person and not a member or the Club.

ARTICLE VIII – Amendments

All amendments have to have approval by the general membership but the Board of Directors may reword an amendment for clarity not disrupting the basic intent of the amendment. Amendments may be proposed and adopted only by the general membership at a meeting called for in part or in its entirety for that purpose.

ARTICLE XI – Dissolution Clause

In the event the Georgia Paint Horse Club dissolves, the following guidelines will be imposed. Upon the dissolution of GPHC, the Board of Directors, shall, after paying or making provisions for the payment of all the liabilities of the club, dispose of all the assets of the club exclusively for the purposes of the club in such manner, or to such organizations operating exclusively for agricultural purposes and that qualify as exempt organizations. First consideration will be given to APHA.

 

Article X- Indemnification

Each officer, director and committee member of the Georgia Paint Horse Club shall be indemnified by the Georgia Paint Horse Club against all costs, expenses and liabilities reasonably incurred by him/her in connection with/or resulting from any action, suit or proceeding to which he/she may be made a party by reason of his or her being or having been a director, officer or committee member of the Club, except in relation to matters which shall have been occasioned by the willful misconduct or dishonesty of such officer, director or committee member. The foregoing right indemnification shall cover amounts paid in settlement of any such action, suit or proceedings when such settlement appears to be in the interest of the Club. The foregoing rights shall be in addition to any other rights to which such officer, director or committee member may be entitled as a matter of law.

GPHC Year End Awards Requirements:

Owner(s) of the horse must be a paid member in good standing with GPHC as well as APHA. Membership dues must be paid prior to the first horse being shown in order for GPHC year-end points to count.

All ownership requirement set forth by the APHA for Youth or Amateur competitors will be observed by GPHC.

Any conflict of the rules for Year-End points will be settled by the Board of Directors of GPHC.

A running total of Year End points will be kept by the GPHC Show Secretary, and Show Manager and shall be readily available for any member in good standing with GPHC.

Points will be published on the GPHC website. Points will be available at GPHC shows as well as Rules of Eligibility.

To be eligible for a Year-End Award the horse must be shown under 60% plus 1 of total number of judges and show at a minimum of four shows during GPHC show season. This specified number applies to each category (Open, Youth, Amateur, and Novice).

In case of a tie for Year-End Awards, two awards will be presented as "Co-Champion" and "Co-Reserve Champion", whichever the case may be.

GPHC points will be awarded in the following manner:

A. 1 point will be received solely for participation.

B. If only one horses is in a class, you will only receive a participation point.

C. Horses standing Grand Champion at halter will receive (2) additional points, and Reserve Champion at halter will receive (1) additional point. This includes Stallion, Mares, & Geldings.

D.  You must show in your respective halter class to be eligible for a High Point award.

A minimum of TWENTY-FOUR GPHC points in a class must be awarded to a horse and/or exhibitor for Year-End Awards to be given to said class.

D. A horse must have competition all year in order to receive "combined Year End Awards".

E. A horse that does not have competition will only receive an award for the individual class they are in.

F. The only exception will be Walk Trot 11 & Under and Lead Line 8 & Under. (Awards will be given in these two classes regardless of the GPHC point minimum rule.)

Awards to be given:

G. High Point and Reserve High Point Awards will be given to each individual class with entries that have met the participation requirements.

H. Where classes are offered as Junior Horse and Senior Horse, but are often combined to increase entries, both High Point Junior and Senior horse will be recognized respectively.

I. High Point and Reserve High Point Halter Stallion, Mare, and Gelding will be awarded in addition to the individual halter classes.

High Point Open Performance and Reserve High Point Open Performance will be awarded.

J. Your respective halter class is required to be eligible for this award.

K. A minimum of three performance classes are required for this award.

L. Additional classes will be tabulated as well, after the minimum requirements are met.

M. These horses may have multiple exhibitors without being penalized.

N. Leadline & & Under: GPHC points will be counted on the rider only. (Changing of the horse or the leader will not count as a penalty.

O. Open Walk Trot: GPHC points to be counted on the horse. (This class does not count toward High Point or Reserve High Point Open Performance Horse.

High Point and Reserve High Point All-Around Youth: Each age group will be awarded:

P. Thirteen & Under and 14-18

Q. A minimum of three performance classes are required to be shown under 60% plus 1 of total number of judges to be eligible for this award.

R. Same horse and rider combination must be maintained to constitute eligibility.

High Point and Reserve High Point All-Around Amateur:

S. A minimum of three performance classes are required to be shown under 60% plus 1 of total number of judges to be eligible for this award.

T. Same horse and rider combination must be maintained to constitute eligibility.

Rookie of the Year (Novice and/or Amateur)

U. To be eligible for this award, the Novice Amateur or Amateur must not have earned more than 10 APHA points on any horse in Open, Amateur, Novice Amateur or Youth (in any combination of divisions) events prior to January 1st of the current GPHC award year.

V. Same horse and rider combination must be maintained to constitute eligibility.

W. Any combination of Novice Amateur or Amateur classes will count toward this award.

X. A minimum of one class must be shown under 60% plus 1 of the total number of judges, 24 GPHC points must be earned to be eligible for this award.

For End of Day High Point Division Awards, Amateur, Novice Amateur, Youth and Open:

Y. You will not be required to show in halter but any point earned in a halter class will be counted toward your high point division.

Z. Must show in a minimum of three performance classes to be eligible for this award.

AA. Additional classes will be tabulated as well after the minimum requirements are met.

END OF DAY AWARDS BECOME FINAL AFTER 10 DAYS ALLOWING TIME FOR AN AUDIT OF POINT TABULATION. AWARDS TAKEN AT END OF DAY SUBJECT TO RECALL TO BE IN GOOD STANDING WITH GPHC.
